Basic for business
Basis for Business
Given that the directors are not insurers of corporate success, the business judgment rule specifies that the court will not review the business decisions of directors who performed their duties (1) in good faith; (2) with the care that an ordinarily prudent person in a like position would exercise under similar circumstances; and (3) in a manner the directors reasonably believe to be in the best interests of the corporation.[3] As part of their duty of care, directors have a duty not to waste corporate assets by overpaying for property or employment services. The business judgment rule is very difficult to overcome and courts will not interfere with directors unless it is clear that they are guilty of fraud or misappropriation of the corporate funds, etc.[4]
In effect, the business judgment rule creates a strong presumption in favor of the Board of Directors of a corporation, freeing its members from possible liability for decisions that result in harm to the corporation. The presumption is that "in making business decisions not involving direct self-interest or self-dealing, corporate directors act on an informed basis, in good faith, and in the honest belief that their actions are in the corporation's best interest."[5] In short, it exists so that a Board will not suffer legal action simply from a bad decision. As the Delaware Supreme Court has said, a court "will not substitute its own notions of what is or is not sound business judgment" [2] if "the directors of a corporation acted on an informed basis, in good faith and in the honest belief that the action taken was in the best interests of the company." [6]
Business judgment rule
A regulation that helps to make sure a corporation’s board of directors is protected from misleading allegations about the way it conducts business. Unless it is apparent that the board of directors has blatantly violated some major rule of conduct, the courts will not review or question its decisions or dealings.
Investopedia explains Business Judgment Rule
The reason for this rule is to acknowledge that the daily operation of a business can be innately risky and controversial. Therefore, the board of directors should be allowed to make decisions without fear of being prosecuted. The business judgment rule further assumes that it is unfair to expect those managing a company to make perfect decisions all the time. As long as the courts believe that the board of directors acted rationally in a particular situation, no further action will taken against them.
Deference given by courts to the Good-Faith operations and transactions of a Corporation by its executives. Reasonable decisions, even if not the most profitable, will not be disturbed by a court upon application by a disgruntled party such as a Stockholder. The rationale behind the rule is that stockholders accept the risk that an informed business decision, honestly made and rationally thought to be in the corporation's best interests, may not be second-guessed. Therefore, courts afford business judgments special protection in order to limit litigation and avoid judicial intrusiveness in private-sector business decision making.

Leading ideas
Booz Allen Hamilton pioneers thought leadership that advances some of the most exciting and innovative ideas of the day. And at the same time, we foster the kind of creative collaboration that puts these “big ideas” into motion, giving our clients powerful new approaches to their most pressing challenges, and helping them prepare for what’s next. Just three examples of how Booz Allen is shaping new ways of thinking: Megacommunities™ Many of today’s problems are too complex to be solved by government, business or civil society alone, and yet leaders of the three groups are sometimes so focused on their own goals that they work at cross purposes. But what if they discovered they could aggressively pursue their own vital interests and unite to a common purpose? That striking premise is behind the “Megacommunity,” a new approach that is dramatically changing the way some of society’s most intractable problems are being addressed.See how Megacommunities are being brought to bear on issues ranging from fighting Alzheimer’s Disease to preventing a devastating cyber attack on America’s infrastructure. Mission Integration Although immense challenges such as disease control, disaster response and counter-terrorism require that federal agencies and departments collaborate, too often the various mission partners lack the means – or the will. Booz Allen is at the forefront of a whole-of-government” strategy – Mission Integration – that is bringing the players together.
See how Mission Integration is helping agencies work with one another on such looming concerns as irregular warfare and all-hazards health preparedness. Aspen Ideas Festival In our era of instant information, we sometimes neglect the difficult discussions on issues that require serious thought and action. The annual Aspen Ideas Festival – in which Booz Allen plays a major role – brings together thought leaders from throughout the world to engage in these discussions, and to begin the collaboration that will lead to new solutions.
